Have tabled the following with the buyer client. 1.1. Type of Deal: Sale and Purchase Agreement including rollovers and extensions; 1.2. Product: Non GMO White Maize (Corn) fit for human consumption or better herewith as specified at Annexure A; 1.3. Product Origin: Brazil / Argentina / South America/; 1.4. Contract Term: Twelve (12) months with rolls and extensions possible; 1.5. Shipment Quantity: Shipments in amount of fifty thousand tonne (50,000 tonne) per calendar month of Product over the Contract Term; The validity of the Shipment Quantities is subject to the acceptance by the Seller Group of the Buyer’s financial instrument;   1.6. Total Contract Quantity: Six hundred thousand tonne (600,000 tonne) during the Contract Term. 1.12. Discharging Port: As specified in the SPA but likely Port of Dar-es-Salaam in Tanzania and Durban Port in South Africa. 1.18. Payment MT760 The Buyer will issue MT760 to cover each Shipment in advance. The first tranche within ten (10) banking days after the Contract is signed and after the Pro Forma Invoice with all Bank Details is received; Stand by Letter of Credit (SBLC): Buyer’s bank will issue 100% Irrevocable, Transferable MT760 Standby Letters of Credit to cover all Shipments. The Buyer will open an MT760 Standby Letter of Credit payable to 100% against shipping documents with full set of original commercial and shipping documents stipulated this Contract; Settlement: The Seller accepts payment via SWIFT MT 760 acting as a proof of funds. Once the Seller receives this instrument confirming the Buyer has the funds to pay for the goods, Seller loads the vessel and delivers the goods. The vessel starts voyage to buyer’s port. Upon delivery, Buyer inspects the Product and pays 100 % within 7 days via Wire Transfer.
